Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the InferCut website and service at infercut.com (the “Service”), operated by Autogrowth, Inc. (“InferCut,” “we,” “us”). InferCut is a project of Autogrowth, Inc.

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

InferCut is an OpenAI-compatible API proxy that transparently routes your large-language-model API calls through a cost-optimization layer. You point your existing client at the InferCut base URL; we forward the call to the underlying model provider and return the response. The goal is to reduce your inference cost while preserving output quality.

If we cannot reduce the cost of a particular call, we pass the call through to your original model provider and we do not charge you InferCut credits for that call.

2. Eligibility and accounts

  • You must be at least 18 years old and legally able to enter into a binding contract.
  • You must provide accurate account information and keep it current.
  • You are responsible for all activity under your account and for keeping your credentials and API keys confidential.
  • Notify us immediately at info@autogrowth.com if you suspect unauthorized access to your account.

3. API keys

We issue you one or more InferCut API keys that authenticate your requests. You are responsible for keeping keys secret and for any usage billed to those keys. You may revoke or regenerate keys at any time from your dashboard.

4. Acceptable use

You agree not to:

  • Use the Service to generate or distribute content that is illegal, infringing, defamatory, harassing, or that violates anyone’s rights.
  • Use the Service to generate child sexual abuse material, to incite violence, or for other use that violates the acceptable-use policy of any underlying model provider.
  • Attempt to reverse-engineer, probe, disrupt, or circumvent the Service, its rate limits, its security controls, or its routing logic.
  • Resell, sublicense, or make the Service available to third parties as a standalone API, except as part of your own product where the Service is a non-primary component.
  • Use the Service to benchmark against a competitor or build a competing product.
  • Use the Service in any way that could impose an unreasonable load on our infrastructure.

We may apply reasonable rate limits and may suspend or terminate accounts that violate this section.

5. Credits and billing

  • The Service operates on a prepaid credit model. You purchase InferCut credits through our payment processor; credits are consumed as you use the Service.
  • All purchases are final. Unused credits are non-refundable and do not expire.
  • If your credit balance reaches zero, further API calls will pass through to your original model provider without InferCut optimization, or will be rejected, depending on your configuration.
  • You are separately responsible for any charges billed to you by the underlying model provider for calls that passed through InferCut.
  • We may change our pricing on a going-forward basis with at least 30 days’ notice. Pricing changes will not affect credits already purchased.
  • You are responsible for all applicable taxes on your purchases.

6. Third-party model providers

The Service relies on third-party model providers to fulfill inference requests. Your use of the Service is subject to those providers’ terms and acceptable-use policies where applicable. We are not responsible for the content generated by any underlying model, for the availability of any underlying model, or for changes those providers make to their services.

7. Your content

As between you and us, you retain all rights to the prompts you submit and the completions returned to you (“Your Content”). We do not store Your Content beyond the duration of the request, and we do not use Your Content to train any machine-learning model.

You grant us only the limited, non-exclusive, royalty-free right to transmit Your Content to the underlying model provider and back to you for the sole purpose of operating the Service.

You are responsible for Your Content and for ensuring that you have all rights needed to submit it to the Service.

8. Our intellectual property

We and our licensors retain all right, title, and interest in the Service, including the software, the user interface, the routing logic, trademarks, and documentation. These Terms do not grant you any right to our trademarks or branding. No rights are granted to you other than as expressly set out in these Terms.

9. Availability

We strive to keep the Service available, but the Service is provided on an “as available” basis. We do not guarantee uninterrupted access, and we may perform maintenance, update, suspend, or discontinue parts of the Service at any time. We are not liable for any interruption or degradation.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT THE OUTPUTS OF ANY MODEL WILL MEET YOUR REQUIREMENTS. OUTPUTS FROM LARGE LANGUAGE MODELS MAY BE INACCURATE OR INCOMPLETE; YOU ARE RESPONSIBLE FOR REVIEWING OUTPUTS BEFORE RELYING ON THEM.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE, OUR AFFILIATES, OR OUR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, AND (B) US $100.

12. Indemnification

You will indemnify and hold harmless Autogrowth, Inc., its affiliates, and their respective officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) Your Content, (b) your use of the Service, or (c) your breach of these Terms.

13. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access at any time for violation of these Terms, for non-payment, to comply with law, or to protect the Service or other users. Sections that by their nature should survive termination will survive (for example, §5, §8, §10, §11, §12, and §15).

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or an in-app banner) before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you and we consent to personal jurisdiction there. Nothing in this section limits either party’s right to seek injunctive relief in any court of competent jurisdiction.

16. Miscellaneous

  • Entire agreement — these Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service.
  • Severability — if any provision is held unenforceable, the rest will remain in effect.
  • No waiver — our failure to enforce a provision is not a waiver of our right to do so later.
  • Assignment — you may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Notices — we may give you notice by email or in-app; you can give us notice at info@autogrowth.com.
